8. Dispute Resolution: Mandatory Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

  • Informal Negotiation: In the event of any dispute, claim, or controversy arising out of or relating to these Terms, you agree to first contact Cozy Key Solutions LLC at cozykey@cozykeysolutionsllc.com to attempt to resolve the matter informally for a period of at least 30 days.

  • Binding Arbitration: If the dispute is not resolved through informal negotiation, you and Cozy Key Solutions LLC agree to resolve any such dispute through final and binding arbitration instead of in a court of general jurisdiction. This arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules.

  • Arbitrator’s Authority: The arbitrator shall have the power to rule on any challenge to their own jurisdiction or to the validity or enforceability of any portion of the agreement to arbitrate. The arbitrator’s award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

  • Class Action Waiver: You and Cozy Key Solutions LLC agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

  • Exceptions to Arbitration: You and Cozy Key Solutions LLC agree that the following disputes are not subject to the above provisions: (1) any disputes seeking to enforce or protect intellectual property rights; and (2) any claim for injunctive relief.

 

8.1 Right to Opt-Out of Arbitration

YOU HAVE THE RIGHT TO OPT-OUT OF THIS ARBITRATION AGREEMENT. If you do not wish to be bound by the mandatory arbitration and class action waiver provisions above, you must notify Cozy Key Solutions LLC in writing within thirty (30) days of the date you first accept these Terms (unless a longer period is required by applicable law).

To opt-out, you must send an email to cozykey@cozykeysolutionsllc.com with the subject line "Arbitration Opt-Out." Your written notification must include:

  • Your full name;

  • Your mailing address;

  • The email address associated with your account (if applicable); and

  • A clear statement that you do not wish to resolve disputes with Cozy Key Solutions LLC through arbitration.

If you opt-out of these arbitration provisions, Cozy Key Solutions LLC also will not be bound by them. Any disputes not subject to arbitration will be resolved in the courts of Texas, USA as specified in the Governing Law section below. Opting out of arbitration has no effect on any other part of these Terms.
